1. What KeyBro Is

For everyone

KeyBro is operated by KeyBro LLC, a limited liability company registered in Columbus, Ohio ("KeyBro", "we", "us"). KeyBro operates the KeyBro mobile app and websites (the "platform"), which connect people who need automotive services with independent service providers.

KeyBro LLC operates both as a platform provider and as a working locksmith company with its own service crews. On locksmith requests, work may be performed either by a KeyBro crew or by an independent locksmith company that joined the platform. The app displays the name of the company serving you on your job.

For vehicle inspections, KeyBro operates strictly as an information directory. KeyBro LLC does not perform vehicle inspections, and 100% of vehicle inspections listed on the platform are conducted entirely by independent third-party inspection businesses.

By using the platform, you agree to these terms. If you do not agree, please do not use the platform.

2. Requesting Locksmith Service

For locksmith customers

To request a locksmith, you provide your name, phone number, vehicle location, and details about the vehicle and required service. Please ensure all information is accurate, as incorrect details may delay service or alter pricing.

When your request is accepted, the app generates an order number. Your order number and phone number allow you to track the job, message the technician, and confirm your request. Please keep these details private.

Locksmiths may request identification and proof of ownership or authorization (such as a vehicle title, registration, or matching insurance card) prior to performing service. Work may be refused or stopped if ownership or authorization cannot be verified.

If a child, pet, or person is locked inside a vehicle, or if anyone is in danger, call 911 immediately. KeyBro is not an emergency service.

A locksmith request is not confirmed until accepted by a participating locksmith company in the app. Arrival times are good-faith estimates and are not guaranteed.

3. Prices and Payment

For locksmith customers

The app displays standard pricing estimates and allows you to agree on pricing with your locksmith prior to starting work. The agreed price applies strictly to the scope of work described in the initial request. If additional work is required (e.g., secondary key types or damaged lock cylinders), the technician must confirm additional pricing and obtain your consent before proceeding.

You pay the locksmith company directly in person upon completion of work. KeyBro does not hold, process, or collect payment for locksmith services from customers, and using the platform is free for customers.

Because payments occur directly between you and the serving company, price disputes and refunds for independent locksmith jobs are handled directly with that company. For services performed by a KeyBro crew, contact KeyBro using Section 15.

4. Service Responsibility & Warranties

For everyone

The company that performs your service is solely responsible for its work, parts, and warranties. Any service guarantee is provided directly by the performing company under its own business terms.

When a KeyBro crew performs locksmith work, KeyBro LLC stands behind that service under KeyBro's standard service terms. When an independent company performs locksmith work or vehicle inspections, KeyBro is not the service provider and does not promise, evaluate, or guarantee that company’s work.

5. Reviews

For customers

Following a completed job, the app may invite you to submit a rating and review for the service provider. One review is permitted per completed job. Reviews must reflect honest, firsthand experiences. KeyBro reserves the right to review, share, or remove content that violates Section 9.

6. Joining as an Independent Provider

For locksmith companies and inspection businesses

Providers join the platform strictly as independent businesses—never as KeyBro employees, partners, agents, or joint venturers. Your business remains exclusively responsible for its own licensing, certifications, insurance coverage, tax obligations, tools, vehicles, employees, and legal compliance.

New provider accounts start in a pending status. KeyBro evaluates and approves accounts at its sole discretion. Services selected in your account profile must accurately reflect your actual operational capabilities.

You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. KeyBro may suspend or terminate any account that violates these terms, misleads customers, or creates liability for the platform or its users.

7. Accepting Locksmith Jobs

For locksmith companies

Available locksmith requests appear in a shared platform queue and are assigned to the first accepting company. By accepting a job, you agree to fulfill the service at the agreed price, arrive within estimated timeframes, and maintain accurate job status updates in the app.

If additional work is needed beyond the accepted request, you must agree on revised pricing with the customer in the app before performing the extra work. Charging more than the agreed price for the agreed scope is strictly prohibited.

If you accept a job but cannot complete it, you must release it promptly within the app. Released jobs return to KeyBro for reassignment or closure. You may not assign or transfer a platform job to an unapproved third-party business.

Customer contact details provided for a job may be used solely to fulfill that job. Storing, selling, sharing, or marketing to these contacts outside of the specific service request is prohibited.

8. Platform Fees

For locksmith companies and inspection businesses

KeyBro charges locksmith companies a platform service fee for each job completed through the platform, as set forth in your provider account or platform agreement. KeyBro will provide advance notice in the app or via message prior to implementing fee updates.

Fees are earned upon job completion on the platform. KeyBro invoices or collects platform fees according to your account setup. Outstanding balances may result in account suspension.

Jobs originated on the platform must remain on the platform. Offboarding platform customers to bypass service fees constitutes a material breach of these terms, resulting in account termination and collection of owed fees.

For vehicle inspection businesses: KeyBro operates strictly as an independent service directory and does not track individual inspection completions, host inspection reports, or collect per-job customer fees.

9. Messages and Content

For everyone

The platform provides messaging tools and review features strictly to support legitimate service connections. KeyBro maintains a zero-tolerance policy for objectionable content. Abuse, harassment, threats, hate speech, explicit content, spam, unauthorized advertising, and unlawful material are strictly prohibited.

KeyBro reserves the right to monitor, filter, moderate, or remove content that violates this policy and may suspend or terminate accounts that breach these standards. Messages may be reviewed by KeyBro to maintain platform safety and operational integrity.

To report objectionable content or misconduct, use the in-app Contact link or call 614-260-4957. KeyBro investigates reports promptly and takes appropriate action within 24 hours, including content removal and account termination where warranted.

You retain responsibility for content you post and grant KeyBro a license to store, display, and process your submissions to operate the platform.

10. Accounts and Data Deletion

For everyone

Provider businesses maintain registered accounts. You may request account deletion at any time in the app under Account Settings. Deleting an account revokes platform access and removes personal data in accordance with the KeyBro Privacy Policy. Active jobs must be completed or released prior to account deletion.

Vehicle buyers and unauthenticated platform visitors do not maintain accounts. If you are a buyer or platform visitor seeking data deletion, submit a request via the Contact link in the app or at www.mykeybro.com. Records retained for legal, tax, or regulatory compliance will be preserved as required.

11. Privacy

For everyone

The KeyBro Privacy Policy details how information is collected, used, and protected. By accessing or using the platform, you agree to the collection and use of information as described in the Privacy Policy.

12. Limitation of Liability

For everyone

The platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, KeyBro disclaims all liability for the work quality, findings, pricing, delays, or conduct of independent locksmith companies or independent vehicle inspectors. KeyBro is not liable for indirect, incidental, consequential, or punitive damages (including lost revenue or profits) arising from platform use.

Where KeyBro is found legally liable, its aggregate liability to any claimant for a job or directory connection is limited to the total fees paid by that claimant to KeyBro for that specific connection, or $100, whichever is greater. Nothing in these terms limits liability that cannot be excluded under Ohio law.

13. Indemnification

For everyone

You agree to defend, indemnify, and hold harmless KeyBro LLC, its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the platform, your services or inspections, your content, or your violation of these terms or applicable laws.

14. Dispute Resolution & Governing Law

For everyone

We encourage resolving concerns directly. Prior to initiating legal proceedings, please contact KeyBro pursuant to Section 15 to seek an informal resolution.

These terms are governed by the laws of the State of Ohio. Any dispute that is not resolved informally shall be settled by binding individual arbitration in Franklin County, Ohio, or, at either party's option, in small claims court in Franklin County, Ohio. You agree to resolve disputes on an individual basis and waive any right to bring or participate in class actions or class arbitrations.

15. Changes and Contact Information

For everyone

KeyBro may update these terms periodically. Revised versions will be posted in the app with an updated effective date. Continued platform use following an update constitutes acceptance of the modified terms.

16. Vehicle Inspection Directory

For everyone

Directory Platform Only: KeyBro provides an information directory connecting vehicle buyers with independent inspection businesses for pre-purchase vehicle inspections. KeyBro is not an inspection company, does not employ vehicle inspectors, and does not perform, direct, supervise, or review any inspections.

Independent Agreements & Off-Platform Transactions: Vehicle buyers do not create accounts or process payments through KeyBro. All scheduling, inspection reports, price agreements, and payments are arranged directly between the buyer and the independent inspector outside of the platform. KeyBro does not generate, process, host, or store inspection forms or reports.

No Guarantees or Warranties: A pre-purchase inspection represents solely the visual and mechanical opinion of the independent inspector at the time of evaluation. KeyBro does not endorse, verify credentials for, or guarantee the accuracy, thoroughness, or qualifications of any listed inspector or inspection report. An inspection is not a warranty, insurance policy, state safety inspection, or guarantee of vehicle condition. The final decision to purchase a vehicle rests solely with the buyer.

Inspector Responsibility & Hold Harmless: Listed inspection businesses attest upon sign-up that they operate as independent businesses responsible for their own services, pricing, tax obligations, and insurance coverage. Buyers agree that any claims, disputes, or damages arising from an inspection must be addressed directly with the inspection business, and you agree to hold KeyBro LLC harmless from all liability related to third-party vehicle inspections.
